The Turmeric Co. Rep Program Agreement

This Rep Program Agreement is a legally binding agreement between you, the “Rep”, and Innate Essence Ltd t/a The Turmeric Co. (“The Turmeric Co.”, “we”, “us” or “our”).

By applying to join or participating in the Rep Program, you confirm that you have read, understood and agreed to these terms.

1. About the Rep Program

The Rep Program allows approved Reps to promote The Turmeric Co. products through their own social media profiles, channels and content.

As part of the program, we may provide you with a personalised discount code or rep code. When a customer purchases products from www.theturmeric.co using your code, you may be eligible to receive commission on qualifying purchases, subject to these terms.

You and The Turmeric Co. are independent contractors. Nothing in this agreement creates an employment, agency, partnership, franchise, joint venture or sales representative relationship. You do not have authority to make commitments, promises or representations on behalf of The Turmeric Co.

We may update, replace or amend these terms from time to time. If we do, we will notify you by email or another electronic method. Your continued participation in the Rep Program after the effective date of any changes will be treated as your acceptance of the updated terms. If you do not agree to the changes, you may end your participation in the Rep Program.

You must ensure that any information you provide to us, including your email address, postal address, PayPal details and social media handles, is accurate and kept up to date.

2. Eligibility

To participate in the Rep Program, you must:

• Be at least 18 years old.
  
• Have an active Instagram and/or Facebook account, or another social media account approved by us.
  
• Have a valid PayPal account or another approved payment method.
  
• Comply with this agreement and any reasonable instructions we provide.
  
• Provide any information we request to verify your eligibility or compliance with the program.

If a person under 18 is involved in creating content or participating in any activity connected to the Rep Program, their parent or legal guardian must give written consent and accept responsibility for compliance with this agreement.

We reserve the right to accept, reject, suspend or remove any Rep from the program at our discretion.

3. Disclosure and Advertising Responsibilities

You must be clear and transparent about your relationship with The Turmeric Co.

Whenever you promote The Turmeric Co. products, share your rep code, or post content connected to the Rep Program, you must include a clear disclosure such as:
“As a The Turmeric Co. Rep, I earn from qualifying purchases.”

You must also comply with all applicable advertising, influencer marketing and social media disclosure rules, including any rules set by the Advertising Standards Authority, the Competition and Markets Authority, and the relevant social media platform.

You must not make misleading, exaggerated or unsupported claims about The Turmeric Co., our products, ingredients, health benefits or results.

Unless approved by us in writing, you must not:

• Claim that our products cure, treat or prevent any disease or medical condition.
  
• Make medical, clinical or therapeutic claims.
  
• Present yourself as an employee, official spokesperson or authorised representative of The Turmeric Co.
  
• Suggest that we sponsor, endorse or approve any person, product, event or organisation unless we have confirmed this in writing.

4. Commissions and Qualifying Purchases

We will pay commission on qualifying purchases in line with the commission rate agreed with you in writing.

A qualifying purchase occurs when:

• A customer purchases eligible products from www.theturmeric.co.
• The customer uses your valid rep code at checkout.
• The order is successfully paid for and fulfilled.
• The order is not cancelled, refunded or returned.
• The purchase is correctly tracked through our systems.

Commission is calculated on the amount actually received by The Turmeric Co. for the relevant product, excluding VAT, taxes, shipping, discounts, refunds and other deductions.

For example, if a customer buys a product priced at £35 and uses a 10% discount code, the customer pays £31.50 before any applicable shipping or deductions. Your commission would then be calculated on the eligible amount actually received by The Turmeric Co., based on your agreed commission rate.

We may offer increased commission rates, incentives or promotional periods from time to time. Any such changes will only apply where confirmed by us.

No commission will be payable on:

• Orders placed after this agreement has ended.
  
• Cancelled, returned or refunded orders.
  
• Orders connected to fraud, misuse or breach of this agreement.
  
• Orders that are not properly tracked because your code was not used or was entered incorrectly.
  
• Purchases made through unauthorised paid ads, search bidding or keyword activity using The Turmeric Co. name, trademarks or variations of them.
  
• Orders generated through misleading, deceptive or non-compliant activity.
  
• Orders where the customer does not comply with our website terms.
  
• Orders generated through coupon sites, discount sites, cashback sites, deal-sharing platforms or unauthorised third-party code-sharing platforms.

We will use reasonable efforts to track qualifying purchases accurately, but we are not responsible for tracking failures caused by incorrect code use, platform errors, third-party issues or activity outside our control.

5. Code Usage and Discount Sites

Your rep code must only be shared through your own social media channels, personal network, direct word-of-mouth recommendations, or other channels approved by The Turmeric Co. in writing.

You must not upload, submit, list, share or allow your rep code to appear on any coupon, voucher, discount, cashback, deal-sharing or code aggregation website, app, browser extension, forum or third-party platform.

All sales generated through your rep code must come from genuine personal promotion, social media activity or word-of-mouth recommendation.

The Turmeric Co. regularly monitors coupon, discount and code-sharing websites and platforms. If we find that your rep code has been listed or shared on any unauthorised discount or coupon site, we reserve the right to cancel your affiliate membership, deactivate your rep code, withhold unpaid commissions, and remove you from the Rep Program immediately.

This applies whether the code was uploaded by you directly or shared by someone else as a result of your unauthorised distribution of the code.

6. Payment

Commissions are usually paid in Pound Sterling via PayPal approximately 30 days after the end of the calendar month in which they were earned.

You are responsible for:

• Any PayPal or payment processing fees.
  
• Any currency conversion fees.
• Any taxes, duties or reporting obligations relating to your commission.

We may withhold, adjust or offset commission payments where:

• An order is cancelled, returned or refunded.
  
• Commission has been overpaid.
  
• We reasonably believe there has been fraud, misuse or breach of this agreement.
  
• We require tax or compliance information from you and you have not provided it.
  
• Your PayPal or payment account is unavailable, suspended or incorrect.

Payment of commission, after any deductions or adjustments, will be treated as full settlement of amounts due under this agreement.

7. Taxes

You are responsible for all taxes and reporting obligations connected to any commission or other payments you receive through the Rep Program.

We may deduct or withhold any taxes where legally required. We may also request tax information from you. If you do not provide the requested information, we may withhold payments until the information is provided or we are satisfied that no withholding is required.

8. The Turmeric Co. Customers

Customers who purchase from The Turmeric Co. are customers of The Turmeric Co., not customers of the Rep.

You must not handle customer service issues, complaints, returns, refunds or product queries on our behalf. If a customer contacts you about an order or product issue, you should direct them to contact The Turmeric Co. through the official website or customer service channels.

9. Content Usage Rights

By uploading, submitting, tagging, sending or otherwise sharing any content with The Turmeric Co., or by creating content in connection with the Rep Program, you grant The Turmeric Co. and Innate Essence Ltd. a worldwide, royalty-free, non-exclusive, transferable and sublicensable right to use, reproduce, edit, adapt, publish, repost, distribute and display that content.

This includes use across our marketing, advertising, website, email, social media, retail, trade, paid media, PR, internal presentations and other brand materials.

This applies to content including, but not limited to:

• Photos.
• Videos.
  
• Testimonials.
  
• Reviews.
  
• Captions.
  
• Social media posts.
  
• Stories and reels.
  
• Product images.
  
• Written feedback.
  
• Any other user-generated content shared with us or made in connection with the Rep Program.

You confirm that:

• You own or have the necessary rights to share the content.
  
• The content does not infringe anyone else’s rights.
  
• Any people featured in the content have given permission for the content to be used.
  
• The content is not unlawful, offensive, misleading or harmful to The Turmeric Co.’s reputation

We are not required to use your content, credit you, seek further approval, or pay any additional fee unless agreed separately in writing.

10. Exclusivity and Competing Brands

During your participation in the Rep Program, you must not promote, represent, endorse, advertise or enter into a paid or gifted partnership with any directly competing functional shot brand that offers turmeric-based products, unless we have given prior written approval.

This includes, but is not limited to, brands that sell turmeric shots, turmeric-based functional drinks, or products that are materially similar to The Turmeric Co. products.
You must let us know if you are approached by, currently working with, or plan to work with any brand that may conflict with this clause.

We reserve the right to suspend or terminate your participation in the Rep Program if we believe a partnership, promotion or activity creates a conflict of interest or could negatively affect The Turmeric Co. brand.

11. Your Responsibilities and Warranties

You confirm that:

• You are legally able to enter into this agreement.
  
• All information you provide to us is accurate and up to date.
  
• Your participation in the Rep Program will comply with all applicable laws, rules, regulations and platform policies.
  
• Your social media profiles and content will not infringe third-party rights.
  
• You will not engage in misleading, fraudulent, deceptive or illegal activity.
  
• You will not damage, misuse or bring The Turmeric Co. brand into disrepute.
  
• You will follow any reasonable brand, content or compliance guidance we provide.

We do not guarantee that you will earn any commission, generate sales, gain followers, receive products or continue to participate in the program for any specific period.

12. Use of The Turmeric Co. Brand

You may only use The Turmeric Co. name, logo, product imagery, trademarks, brand assets or materials in the way we approve.

You must not:

• Alter our logos or brand assets without permission.
• Register or use domains, handles or paid search terms containing The Turmeric Co. name or trademarks.
  
• Present yourself as owning or controlling any The Turmeric Co. intellectual property.
  
• Use our brand in a misleading, offensive or damaging way.
  
• Run paid advertising using The Turmeric Co. name, products or trademarks unless approved in writing.

All intellectual property rights in The Turmeric Co. brand, products, website, trademarks, logos, content and materials remain owned by us or our licensors.

13. Term and Termination

This agreement starts when you apply to join or begin participating in the Rep Program.

Either you or we may end this agreement at any time, with or without cause, by giving written notice.

We may suspend or terminate your participation immediately if:

• You breach this agreement.
  
• You fail to fix a breach within 7 days of us notifying you.
  
• We believe your activity may create legal, financial or reputational risk.
  
• We believe you have acted fraudulently, dishonestly or unlawfully.
  
• You misuse your rep code.
  
• Your rep code is listed on a coupon, discount, cashback, deal-sharing or unauthorised third-party code-sharing site.
  
• You work with a competing turmeric-based functional shot brand without approval.
  
• You make misleading claims about our products.
  
• You damage or may damage The Turmeric Co. brand or reputation.
  
• We end or materially change the Rep Program.

After termination, you must stop using your rep code, stop presenting yourself as a The Turmeric Co. Rep, and stop using any brand assets or confidential information.

Termination does not affect any rights or liabilities that arose before termination. Clauses relating to content usage, confidentiality, intellectual property, taxes, payments, liability, indemnity and dispute resolution will continue after termination where relevant.

14. Disclaimers

The Rep Program, our website, products, services, rep codes, tracking systems, content, brand materials and any related technology or materials are provided on an “as is” and “as available” basis.

We do not guarantee that:

• The Rep Program will always be available.
  
• Your rep code will always function without interruption.
  
• Tracking will always be error-free.
  
• You will earn any specific amount of commission.
  
• The Rep Program will continue in its current form.

We may change, pause or end the Rep Program at any time.

Nothing in this agreement excludes or limits any liability that cannot legally be excluded or limited.

15. Limitation of Liability

To the maximum extent permitted by law, The Turmeric Co. will not be liable for any indirect, incidental, special, consequential or exemplary loss, including loss of profits, revenue, goodwill, data, opportunity or anticipated savings.

Our total liability arising out of or in connection with this agreement will not exceed the total commission actually paid or payable to you in the 12 months immediately before the event giving rise to the claim.

Nothing in this agreement limits liability that cannot legally be limited.

16. Indemnity

You agree to indemnify and hold harmless The Turmeric Co., Innate Essence Ltd., our affiliates, directors, officers, employees, contractors and representatives from and against any claims, losses, damages, liabilities, costs and expenses arising from:

• Your breach of this agreement.
  
• Your social media profiles, content or materials.
  
• Your use or misuse of our brand, products, rep code or materials.
  
• Any misleading, unlawful or non-compliant claims you make.
  
• Any infringement of third-party rights.
  
• Your negligence, fraud, wilful misconduct or unlawful activity.

17. Confidentiality

Any non-public information we share with you in connection with the Rep Program is confidential and remains the property of The Turmeric Co.

You must not share confidential information with any third party unless we have given written permission or the information is already publicly available.

Confidential information may include, but is not limited to:

• Commission rates.
  
• Campaign plans.
  
• Product launches.
  
• Marketing plans.
  
• Sales information.
  
• Customer information.
  
• Internal documents.
  
• Commercial discussions.

You must use confidential information only as needed to participate in the Rep Program.

18. Dispute Resolution

If a dispute arises in connection with this agreement or the Rep Program, both parties agree to try to resolve the dispute informally first.

The party raising the dispute must send written notice describing the issue. Both parties will then try to resolve the dispute for 30 days from receipt of the notice.

If the dispute cannot be resolved informally, either party may refer the dispute to arbitration in London under the LCIA rules, unless the claim is suitable for small claims court.

This agreement is governed by the laws of the United Kingdom. Where court proceedings are permitted, the courts of the United Kingdom will have jurisdiction.

19. Miscellaneous

We may operate, promote or work with other ambassadors, affiliates, partners, creators or marketing channels on different terms.

Our failure to enforce any part of this agreement does not mean we waive our right to enforce it later.

You may not transfer or assign this agreement without our written approval.
If any part of this agreement is found to be invalid or unenforceable, the remaining parts will continue to apply.

We will not be responsible for delays or failures caused by events outside our reasonable control, including technical failures, platform issues, payment provider issues, natural events, labour disputes, civil unrest, war, terrorism or interruption of third-party services.

This agreement, together with any applicable website terms and privacy policy, forms the entire agreement between you and The Turmeric Co. in relation to the Rep Program.

If there is a conflict between this agreement and our website terms, this agreement will apply in relation to the Rep Program.
